Guy A. Reiss
Founding & MANAGING Partner

Guy has over thirty years of experience in representing domestic and foreign clients and focuses his practice on cross-border and domestic corporate, commercial, employment, real estate leasing, and credit transactions.

He advises foreign and domestic investors and companies on the formation, operation, restructuring and dissolution of US companies, joint ventures and strategic alliances, mergers and acquisitions, divestitures and asset sales, distribution, sales agency, supplier and other complex and standard commercial agreements and arrangements, including terms and conditions. 

He also advises on regulatory and other legal aspects of cross-border trade and other commercial arrangements including but not limited to product liability and other compliance issues.  

Guy’s clients include start-up as well as established businesses headquartered abroad, US for-profit and not-for-profit entities and high net worth individuals. 

Guy has experience and expertise in advising and representing businesses in connection with real estate transactions, including leasing, acquisitions, financings, dispositions and other transactions and matters. 

He advises on and handles employment matters, including the negotiation and termination of employment agreements and related arrangements with or on behalf of executives of US entities as well as employee handbooks and employment policies. 

Acting as outsourced general counsel and/or corporate Secretary, he assists multi-jurisdictional companies with their US reporting and filing requirements, as well as with their minutebooks and related corporate matters. 

In domestic and international litigation and commercial arbitration matters, Guy partners with colleagues both within the firm and with local or other outside special counsel to achieve optimal results for the firm's clients.

Guy has handled private placements of debt and equity securities both on behalf of issuers and investors in connection with domestic and cross-border transactions and related disclosure documents and filings and has advised on federal and state securities laws.

Prior to founding Reiss+Co. (formerly known as Reiss+Preuss LLP) in 2010, Guy was a partner at Wuersch & Gering LLP (2007 – 2010) and Alston & Bird LLP/Walter, Conston, Alexander & Green, P.C. (2000 – 2007). During 2004, Guy was seconded to, and worked as, a visiting attorney at a major law firm in Munich, Germany. He started his career as an associate in the corporate department of Fried, Frank, Harris, Shriver & Jacobson (in New York).

Guy has been the main speaker (Referent) at seminars held in Germany on topics relating to doing business in the US and related legal risks offered by the Management Circle; has spoken at various in-house seminars at German and US law firms on topics relating to US corporate, commercial and securities laws; and has moderated panels for the Swiss-American Chamber of Commerce, the American Jewish Committee and the New York City Bar Association.

Guy enjoys biking to work and elsewhere, skiing and spending time with his family in between work.
